No Assets

Michelmores confirm that RCL has no assets in November 2017, and that any money they obtain from Nick Cooper is to be seen as a bonus.

Michelmores also appear to be under the illusion that the IP used in the original Vega belongs to RCL, but Chris Smith was never paid for the original IP and still owns it.

The Vega+ uses the FUSE emulator which is covered by the GNU general public licence. Use of the emulator requires machine readable source code to be distributed with the Vega+.

Suzanne & David,

Thank you for coming into the office on Thursday.

I agreed to drop you a brief note of the actions/points we agreed. Which are in no particular order-

1 - Any monies recovered from Cooper is to be regarded as a "bonus" in terms of monies due to Michelmores. In other words the focus for you to pay us is through selling the Vega and Vega + rather then chasing bankrupt individuals.

2 - In this respect we are not doing any more work other than letters to the Liquidator and assisting the Trustee in Bankruptcy as absolutely necessary.

3 - Again I was disappointed that you have not cash flow forecasts yet but you have agreed to let me have a schedule by the end of this week detailing the following. Basically the schedule (ideally a spread sheet) should show for each model the different sales routes, the prices and margins of each route and who you have orders for each model from showing who, quantities, dates etc.

This spread sheet will then provide your best estimate of inflowing cash over the next say 3/4 months.

4 - 5,000 units to the backers by end of November to be followed up by 6,000 more Vega +'s to Retailers.

5 - Suzanne to meet SMS this week and resolve the overcharge of packaging. This could run to several thousand pounds and you to press for a cash refund which could be used to pay Michelmores some money.

6 - Suggested split of future margins received being 60% to Michelmores and 40% retained by Retro (we will confirm this when we have seen the above numbers) but in principle the majority to us is acceptable but until we have a feel of what that will be we reserve our position and may ask for a higher percentage.

7 - We also discussed taking a charge over the Companies assets. In reality the only asset that has any real value is the IP which comprises the "code" of the Vega and Vega + some of which is already in the public domain. This is further complicated by your agreement with Sky and using the name of Sinclair and Spectrum. The plant (i.e. tools) is another asset but you informed me that this has little value. We will discuss the legal implications of this internally and revert in due course. There is of course any stock you may have.

In conclusion we look forward to receiving the schedule by the end of this week and an update on the position with SMS and the over charge.

In the interim if you can keep us updated of any developments which have a bearing on the sales and cash flow please do let us know.

I will be in London on 30 November, early morning of 1 December and up to 12 noon on 14 December which would be available for further meetings.
